Read this before you use the Site.
By accessing or using the Site, you accept these Terms (on behalf of yourself or your organization) and represent that you have the right, authority, and capacity to do so. You must be at least 18 years old. If you do not agree with all provisions, do not access or use the Site.
Creating + maintaining your account.
1.1 Account Creation. To use certain features, you must register and provide accurate registration information. You represent that all required information is truthful and accurate, and that you’ll maintain its accuracy. You may delete your Account at any time.
1.2 Account Responsibilities. You’re responsible for maintaining the confidentiality of your login information and fully responsible for all activities under your Account. Notify us immediately of any unauthorized use or security breach.
License + restrictions.
2.1 License. Company grants you a non-transferable, non-exclusive, revocable, limited license to use the Site for your own personal, noncommercial use.
2.2 Restrictions. You shall not: license, sell, rent, transfer, or commercially exploit the Site; modify or reverse-engineer it; access the Site to build a similar or competitive product; or copy, reproduce, or republish any part except as expressly stated.
2.3 Modification. Company may modify, suspend, or discontinue the Site at any time, with or without notice. 2.4 No Support. Company has no obligation to provide support. 2.5 Ownership. All IP rights belong to Company or its suppliers. These Terms transfer no rights other than the limited access in 2.1.
You agree to defend us.
You agree to indemnify and hold Company harmless, including costs and attorneys’ fees, from any third-party claim arising out of (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of applicable laws.
Off-site + peer-to-peer risk.
4.1 Third-Party Links. The Site may contain links to third-party sites and advertisements. Company is not responsible for them. Use them at your own risk and review their privacy policies and terms before transacting.
4.2 Other Users. Your interactions with other Site users are solely between you and them. Company has no responsibility or obligation to mediate.
4.3 Release. You release Company from any past, present, or future claim arising from the Site or other users. California residents waive Civil Code Section 1542.
"As-is" + "as-available."
THE SITE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR FREE OF VIRUSES. WHERE LAW REQUIRES WARRANTIES, ALL ARE LIMITED TO NINETY (90) DAYS FROM FIRST USE.
Capped at $50.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY OR OUR SUPPLIERS SHALL NOT BE LIABLE FOR LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY.
Our liability for any damages arising from or related to this Agreement is limited to a maximum of fifty US dollars (U.S. $50) at all times. The existence of more than one claim will not enlarge this limit.
When this agreement ends.
These Terms remain in full force while you use the Site. We may suspend or terminate your rights at any time, for any reason, at our sole discretion, including for any violation of these Terms. Upon termination, your Account and right to use the Site terminate immediately. Sections 2.2 through 2.5 and Sections 3 through 8 survive termination.
Disputes go to arbitration.
8.1 Changes. These Terms may be revised. Material changes will be posted on the Site or emailed to you. Continued use after notice constitutes acceptance.
Mandatory binding arbitration.
Class action waiver. Jury trial waiver.
(a) All claims and disputes, except those for injunctive or equitable relief, that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis.
(b) Notice. Before arbitration, the party must send written Notice of Dispute to: 301 N. Palm Canyon, Suite 103, Palm Springs, CA 92262. After 30 days of attempted resolution, either party may begin arbitration.
(c) Rules. Arbitration is initiated through the American Arbitration Association (AAA) under the AAA Consumer Arbitration Rules, conducted by a single neutral arbitrator. Claims under $10,000 may use non-appearance-based arbitration.
(g) Jury Trial Waiver. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY.
(h) Class Waiver. ALL CLAIMS WITHIN THE SCOPE OF THIS AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS, NOT ON A CLASS BASIS.
(m) Small Claims. Either party may bring an individual action in small claims court. (n) Emergency Relief. Either party may seek emergency equitable relief before a state or federal court.
(p) Courts. Any litigation permitted by the Arbitration Agreement shall be in courts located within Los Angeles County, California.
